Dwayne Kushniruk

Dwayne Kushniruk has co-founded, managed and invested in several private and public software companies since 1981. These include the Abacus (accounting) Software Group, which conducted an IPO in 1995 and subsequently ranked amongst the top 50 Canadian independent software companies; Microrim Inc., the Seattle based R:Base database company; Baseline Technologies Inc., a pipeline software company which he co-founded and subsequently sold to a TSE listed company; Exchequer Software Inc., a software investment and turn-around company, and Opus Software Technologies Inc., a payroll software company that he founded, managed, and subsequently divested to an Australian buyer. Opus IP included Canadian, Australian, UK and US payroll modules for Great Plains Dynamics and eEnterprise that were ultimately acquired by Microsoft/Great Plains in 2000.

Mr. Kushniruk founded Vision Pay Inc. in 2001 to provide payroll and HR software for Navision products sold in North America, then vended the company into the public company via an RTO in 2002. In 2004 he sourced and managed the acquisition of Denver-based Serenic Software, Inc., which provided US infrastructure and management for the business to grow revenues organically from less than $1 million in 2002 to exceed $12 million. Mr. Kushniruk subsequently sourced and managed the sale of the Serenic operating divisions in mid-2014, which provided a $9.2 million gain for shareholders and set the stage to pursue the cloud technology opportunities that OneSoft is now pursuing.

Mr. Kushniruk is one of the major shareholders and will continue to manage the Company’s M&A growth strategy, public company matters and capital markets initiatives.


Brandon Taylor

Brandon Taylor began his career building enterprise solutions on IBM mainframes. He has been involved with various technologies over the last 25 years and has served as the CTO of the OneSoft companies since 2004. He has been involved with numerous technology projects with Microsoft, including the Technology Adoption Program (TAP) for Microsoft Dynamics since 2009, and the GR2R (global road to repeatability) program in 2012 (now renamed as Cloud SureStep), which focuses on advancing Microsoft’s volume cloud business model for Dynamics ERP products. Mr. Taylor was recently re-appointed as one of the eight partners who comprise Microsoft’s worldwide ERP partner advisory council (PAC).

Under Mr. Taylor’s management, OneSoft became the first company world-wide to adopt and deploy products on Microsoft Cloud Services (MCS) in early 2015, which platform was announced and unveiled at Microsoft’s Directions conferences in Europe and USA in October, 2015. OneSoft also developed two of the three products for Dynamics NAV that are currently available on Microsoft’s Office 365 store. Mr. Taylor is one of the major shareholders and will continue in his role as the President, CTO and COO of the OneSoft companies.

Tim Edward commenced his working career in the general aviation industry, which provided him an opportunity to work with early GPS technology and navigation systems. He ultimately transformed this expertise to applications for the oil and gas pipeline industry, where he has spent the past 25 years pioneering leading edge software systems that are based on new technologies.

He co-founded Baseline Technologies Inc. in 1997, which successfully developed an early version of ILI analysis software, with unique capability to locate particular anomalies within sub-metre accuracy using GPS technology. Baseline was acquired within 18 months of start-up, providing a $7.6 million gain to the founding investors. Mr. Edward subsequently pioneered development of Public Awareness and other specialized functionality for the Industry, which IP has all been acquired by OneBridge.

Mr. Edward continues to maintain strong working relationships with pipeline industry leaders, associations and regulators, whose common objective is to revolutionize and improve the antiquated systems that no longer appropriately serve the industry today. Mr. Edward is one of the major shareholders and will continue in his visionary role to move the OneBridge projects forward.


Paul Johnston

Paul Johnston has served as the Company’s CFO since 2005. He is an accredited CPA CMA and has more than 35 years of accounting and finance experience in a variety of industries and publicly traded companies, including a national building materials distributor; heavy equipment sales and service; and precision metal manufacturing for telephone and computer industries. Mr. Johnston has also provided community service relating to his profession and expertise, having served as board member with a nonprofit organization for many years. He is one of the major shareholders of the Company, and will continue in his role to manage all financial aspects that pertain to the Company’s operations and growth strategies.

Doug Thomson has over 30 years of senior executive and financial experience in a variety of roles and industries. He has a Bachelor of Commerce from the University of Alberta, is a Fellow of the Institute of Chartered Accountants of Alberta and holds the ICD.D designation as a certified director from the Institute of Corporate Directors. He currently sits on the Boards of several private and public companies and is a past President of the Institute of Chartered Accountants of Alberta.


Ron Odynski

Ron Odynski has practiced law with Ogilvie & Company of Edmonton and Calgary, Alberta since 1975 and is the managing partner of the Edmonton operation. He was admitted to the Law Society of Alberta in 1975, appointed Queen's Counsel in 1990, and is a graduate of the Institute of Corporate Directors, holding the ICD.D designation. Mr. Odynski has extensive experience providing legal services to healthcare institutions and advanced technology companies.


Randy Keith

Randy Keith held the positions of Director, President and CEO of Serenic Corporation between 2007 and 2014, and was responsible for all day-to-day operations. Prior to his association with Serenic, Mr. Keith was the President of the Navision US and Navision Canada operations, wherein he played a significant role in advancing the growth of the Navision technology, products and reseller channels prior to Microsoft’s acquisition of the companies in 2002. He is a 30-year veteran of the application software industry, having served in various senior sales, marketing, and management positions with several software companies. Mr. Keith earned a Degree in Management Information Systems from the University of Georgia, and continues his service to the Company as a Director.


David Tam

David Tam joined the Alberta law firm of Parlee McLaws LLP in 1990 and has been a partner since 1999. Since his call to the Bar, his practice has been focused on securities and corporate work, wherein he developed valuable experience in conducting numerous securities, M&A and financing transactions. He has represented both issuers and agents for a number of public offerings, private placements and regulatory compliance matters, for issuers listed primarily on the TSX Venture Exchange. Mr. Tam currently works with a number of real estate, oil and gas, mining and resource, technology, biotechnology and advanced materials companies, providing guidance that spans formative stage growth, through various private placement fundings, and eventually initial public offerings. Mr. Tam is a graduate of the Canadian Securities Course.
